Designed to encourage investment in small businesses, the QSBS exclusion provides owners of eligible companies with a tax exclusion for some, or all of the gains realized on the sale of their stock. The One Big Beautiful Bill Act, signed into law in early July 2025, has introduced changes to the QSBS rules under Section 1202 of the Internal Revenue Code. These updates aim to benefit founders, investors, and startups by affecting the QSBS tax exemption, which allows for the exclusion of capital gains on the sale of qualifying stock.
